Welcome to Grove. These Terms of Service ("Terms") govern your access to and use of the Grove platform, including our website, applications, and services (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

Grove is operated by Grove Platform Holdings Ltd, a company registered in England and Wales. Our registered office address and company registration details can be found on our Legal Information page.

For the purposes of these Terms:

• "Account" means the unique account created for you to access our Service or parts of our Service.
• "Company" (referred to as either "the Company", "We", "Us" or "Our" in this Agreement) refers to Grove Platform Holdings Ltd.
• "Content" refers to any information, data, text, graphics, or other materials uploaded, downloaded, or appearing on the Service.
• "Service" refers to the Grove HR platform, website, and all related services.
• "Subscriber" means the company or organisation that has entered into a subscription agreement with Grove.
• "User" means any individual who accesses or uses the Service, whether as an administrator, manager, or employee.

Subject to your compliance with these Terms and payment of applicable fees, Grove grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes.

Under this licence, you may not:

• Modify, copy, or create derivative works based on the Service or its content
• Use the Service for any commercial purpose other than managing your own organisation's HR needs
• Attempt to reverse engineer, decompile, or disassemble the Service
• Remove any copyright or proprietary notices from the Service
• Transfer your licence to another party without our written consent
• Use the Service in any way that violates applicable laws or regulations

This licence shall automatically terminate if you violate any of these restrictions and may be terminated by Grove at any time. Upon termination, you must destroy any downloaded materials in your possession.

The Service is provided on an "as is" and "as available" basis. Grove makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation:

• Implied warranties of merchantability and fitness for a particular purpose
• Warranties regarding the accuracy, reliability, or completeness of the Service
• Warranties that the Service will be uninterrupted, timely, secure, or error-free

Grove does not warrant that the results obtained from using the Service will meet your requirements or that defects in the Service will be corrected.

The Service provides tools to help manage HR processes but does not constitute legal, tax, or professional advice. You should consult with qualified professionals for specific advice related to your circumstances.

To the maximum extent permitted by applicable law, in no event shall Grove or its suppliers be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation:

• Loss of profits, data, use, goodwill, or other intangible losses
• Damages resulting from your access to, use of, or inability to use the Service
• Damages resulting from any unauthorised access to or use of our servers or any personal information stored therein
• Damages resulting from any interruption or cessation of transmission to or from the Service

Our total liability to you for all claims arising from or related to these Terms or the Service shall not exceed the amount you paid to Grove in the twelve (12) months preceding the claim.

Nothing in these Terms shall limit or exclude our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be limited or excluded by law.

Grove reserves the right to revise these Terms at any time without prior notice. By continuing to use the Service after changes are posted, you agree to be bound by the revised Terms.

We will notify you of any material changes to these Terms by:

• Posting a notice on our website
• Sending an email to the address associated with your account
• Displaying a prominent notice within the Service

For material changes, we will provide at least 30 days' notice before the changes take effect. Your continued use of the Service after the effective date constitutes your acceptance of the revised Terms.

The Service may contain links to third-party websites or services that are not owned or controlled by Grove.

Grove has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. We do not warrant the offerings of any of these entities or individuals or their websites.

You acknowledge and agree that Grove shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such third-party websites or services.

We strongly advise you to read the terms of service and privacy policies of any third-party websites or services that you visit.

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

If you are located outside the United Kingdom, these Terms remain governed by the laws of England and Wales. However, we acknowledge that additional local laws may apply to your use of the Service. Nothing in these Terms limits any rights you may have under the mandatory consumer protection or employment laws of your jurisdiction.

United States

For customers in the United States, any disputes that cannot be resolved informally may, at your election, be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, rather than in the courts of England and Wales.

European Economic Area

For customers in the European Economic Area, you retain all rights under the EU Consumer Rights Directive and applicable national implementing legislation.
